These Terms of Service (hereinafter referred to as "Terms") govern the use of the website www.potioncapital.com (hereinafter referred to as "the Site") and the Founder Console application, published by Potion Capital SAS, a French société par actions simplifiée with share capital of €1,000, registered with the Trade and Companies Register of Versailles under number 980 870 950, with its registered office at 15 Rue Henry, 78600 Maisons-Laffitte, France.

Acceptance of Terms
Access to and use of the Site and Founder Console implies full and complete acceptance of these Terms. If you do not accept these conditions, please do not use the Site or submit applications through our platform.
Potion Capital reserves the right to modify these Terms at any time. Any modification will take effect immediately upon its publication on the Site. Users are encouraged to regularly consult these Terms to be aware of any changes.
Access to the Site
Access to the public portions of the Site is free. The Founder Console application is available to startup founders and entrepreneurs for submitting investment applications.
Potion Capital endeavors to maintain the Site accessible 24/7, but is not bound by any obligation of results in this regard. Potion Capital reserves the right to interrupt access to the Site, without prior notice, particularly for maintenance reasons, security updates, or in case of force majeure.
Potion Capital shall not be held responsible for any damage, of any nature whatsoever, resulting from the unavailability of the Site or Founder Console.

The information provided on this website does not constitute investment advice, a solicitation to invest, or an offer to sell securities. Potion Capital investments are limited to accredited investors and qualified purchasers who meet specific regulatory requirements. Intellectual Property
All elements constituting the Site (texts, graphics, software, photographs, images, videos, logos, trademarks, the Potion brand and visual identity, creations, databases, etc.) as well as the Site itself, are subject to French and international legislation on copyright and intellectual property.
These elements are the exclusive property of Potion Capital or its partners. The user acknowledges that the use granted to them of the Site does not entail any transfer of ownership in their favor.

Founder Console - Application Submissions
Submission of Information
By submitting an application through the Founder Console, you represent and warrant that:
- All information provided is accurate, complete, and not misleading
- You have the authority to submit the application on behalf of your company
- You own or have the necessary rights to any materials (pitch decks, documents) you upload
- Your submission does not violate any third-party rights or applicable laws
Grant of License
By uploading documents and materials through the Founder Console, you grant Potion Capital a non-exclusive, worldwide license to review, evaluate, store, and share these materials with co-investors and limited partners for investment evaluation purposes.
No Guarantee of Investment
Submission of an application does not guarantee:
- Review or consideration of your application
- Investment from Potion Capital or any related parties
- Any specific timeline for response or evaluation
- Confidentiality beyond standard business practices (see Confidentiality section)
Confidentiality
Potion Capital treats pitch decks and business information submitted through the Founder Console with appropriate care. However, we cannot guarantee absolute confidentiality. We recommend not including highly sensitive proprietary information in initial submissions. For detailed discussions, we can execute formal non-disclosure agreements.
We may share submitted materials with:
- Our investment team and advisors
- Potential co-investors, with your consent
- Our limited partners for deal flow reporting
- Service providers (e.g., Google Drive for storage)
User Conduct
Users of the Site and Founder Console agree not to:
- Submit false, misleading, or fraudulent information
- Upload malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems
- Use the platform for illegal activities or purposes
- Spam or submit excessive applications
- Violate intellectual property rights of third parties
- Harass or abuse our team or other users
Potion Capital reserves the right to refuse service, terminate accounts, or remove content that violates these Terms.
